Renato Souza Neto and Paulo Renato Souza, former Minister of Education in Brazil, founded Prismapar in 2002 with to offer specialized M&A advisory in the Education sector in Brazil.

Prismapar opened its Costa Rican office in 2012 and expanded to Colombia in 2015, with the integration of Marcelo Burbano as Managing Partner based in Bogotá.

In 2018, the firm continued to grow, opening the Guayaquil office in Ecuador.

Starting in 2019, with the affiliation of new partners and advisors, Prismapar continued its regional expansion and moved to a multi-industry focus, advising important M&A transactions in different sectors.

Prismapar acted as the exclusive advisor in the sale of the rice and logistics assets of Grupo Dajahu S.A. in Ecuador to Brazilian Camil Alimentos S.A., one of the largest companies in the food sector in Latin America.

Prismapar participated in all stages of the USD $36 million transaction, from process planning, approach to potential buyers, negotiation of terms, transaction structure, coordination of due diligence process, including deal signing and closing.

Grupo Dajahu is one of the 500 largest organizations in Ecuador and operates in the Real Estate, Logistics and Food sectors. The company leads Ecuador’s rice market. The assets sold to Camil as part or this transaction were in line with Dajahu’s s strategy to focus resources on its Real Estate and Logistics division.

Prirsmapar advised Advent International Investment Fund in the acquisition of assets from Brazilian education networks Kroton Educacional and IUNI Educacional. The scope of Prismapar’s role included strategic, financial, and operational responsibilities.

Together with Advent, Prismapar developed a strategy to inorganically enter the Brazilian higher education market by building a strong platform for growth. Our firm mapped and assessed potential target, and supported the complete acquisitions process, from planning to closing. These transactions amounted to around USD $250 million.

The success of these deals gave rise to the largest higher-education group in Brazil and one of the world’s largest, Cogna Educacional, with around 2.4 million students.

VERISOFT
FS SECURITY

We advised the selling shareholders with exclusivity in the sale of 100% of Verisoft’s capital to the FS Security Group.

Our work involved negotiating the financial bases, hiring a specialized legal advisors, coordinating the work and information flows of Due Diligence and negotiating the final contracts, up to the signing and closing of the deal. Verisoft is one of the leaders in the creation and development of products and digital content such as magazines, audiobooks, books, courses and magazines distributed by mobile operators via VAS (Value Added Services).

FS Security is one of the largest technology players focused on mobile applications in the country, with expertise in the development of security applications.

Prismapar acted as the exclusive advisor to the R’Evolution Education Group in the acquisition of the Spanish business school Cerem International Business School.

Prismapar’s team was present at all stages of the transaction, from approaching the parties to final negotiations, supporting the client’s management on its entry and expansion strategy outside Latin America. Cerem is a business school with more than 45 years as an academic institution and more than 200,000 graduates, with several master’s courses in Spain and Latin America.

The R’Evolution Group is an educational group specializing in higher education, university technique and lifelong learning to promote high academic quality and inclusive models through its EdTech solutions for all social sectors.

UCIMED
GALILEO EDUCATION

Prismapar acted as the exclusive advisor to Galileo Global Education (GGE), Europe’s largest group in private higher education.

Through its local network, the Prismapar team identified the opportunity aligned with GGE’s strategic objectives and quality criteria for its expansion in the health sector in LATAM. Hand in hand with the client, UCIMED and its advisors, Prismapar has developed and negotiated the understandings and agreements of the transaction. UCIMED is a higher education institution that offers training in Medicine, Pharmacy, Physiotherapy and other specialties, recognized for its high-quality standards in Costa Rica and the region.

GGE has more than 200,000 students in more than 100 campuses around the world, always focused on teaching excellence. With the transaction, GGE advances in its LATAM expansion. By joining the Galileo Global Education network, UCIMED lays the foundations to accelerate its development, respecting its heritage and its DNA.

Renato Souza Neto

Managing Partner

Renato has an extensive track-record in M&A, capital markets and client relationship management. Prior to founding Prismapar, Renato held key positions in some of world’s largest organizations, such as Banco J.P. Morgan and Egon Zehnder.

Renato holds a degree in Economics from The George Washington University in the US, and a MBA from INSEAD in France. Currently based in San José, Costa Rica, Renato leads Prismapar’s operations in the Caribbean and Central America and supervises the group’s corporate initiatives.

Marcelo Burbano

Managing Partner

Marcelo started his career in New York, within the M&A group at Deutsche Bank, and also served as an Advisor at Violy McCausland family businesses. Lather in his career, Marcelo became Senior Director and CFO at Alqueria, Colombia’s largest dairy company. Passionate about technology, Marcelo is one of the founders of the startup INNCUBATED, the first incubator focused on Education in Latin America.

Marcelo holds an engineering degree from Universidad de Los Andes, an undergraduate business degree from Wharton School (UPENN) and an MBA from Harvard Business School. Marcelo is based in Bogotá and leads Prismapar’s transactions in the Andean Region.

Oliver Klopfstein

Partner

Oliver started his career in the Strategic Planning group at Siemens Corporation in New York. Before joining Prismapar, Oliver was a partner at Grupo Spurrier, Ecuador’s leading economic and market research firm, where he collaborated with local and multinational companies, public institutions, and NGO’s on industry and competitive analysis, sectorial, economic, and market studies to support major strategic initiatives and investments.

Oliver holds a degree in Management Engineering from Worcester Polytechnic Institute and an MBA from Babson College in the US and leads Prismapar’s office in Ecuador.

Bruno Maringoni

Partner

Bruno served as the Managing Partner of BRN Finance, advising shareholders and companies from several industries in Brazil. Bruno was also part of the M&A group at Banco Rabobank in the São Paulo office and later in New York. Bruno was also a consultant at Aggrego Consultores, dedicated mainly on M&A and debt raising mandates. Prior to joining Prismapar, Bruno co-founded Prova.lá, an e-marketplace.

Bruno holds a degree in Business Administration from the University of São Paulo (FEA-USP) and leads Prismapar’s office in Brazil.

Francisco Gómez

Principal

Francisco leads Prismapar projects in Mexico. Previously, he worked at Domínguez, Gómez y Rocabert in Investment Banking and Financial Advisory divisions, later at Finankia as Head of the ​​M&A – Investment Banking division; He’s also worked as a consultant for venture capital and private equity funds as an external advisor to their Investment Committees. Francisco has also developed entrepreneurial projects that have allowed him to gain operational experience and understand the complexities of runnig day-to-day operations.

Mr. Gómez graduated with Honors in Accounting and Finance from Universidad La Salle in Mexico City, MX and obtained a Master’s degree in Finance from Tecnológico de Monterrey Campus Mexico City. He speaks Spanish, English and Italian.

David Méndez

Associate

David is Associate at Prismapar Colombia office, he supports M&A processes (mergers and acquisitions), financial advisory and new ventures in Latam. He has a track record of more than 10 years in business structuring and financial planning. He has performed capital raising processes through private equity for projects in real estate, capital markets and ventures.

He worked at Cemex and Alpina Colombia in commercial and financial planning areas. He is an Industrial Engineer, has a master’s degree in Finance from the Universidad de Los Andes Colombia and an MBA from CESA, is fluent in English and Spanish.

Moises Gutierrez

Associate

Prior to joining Prismapar, Moises worked at Credicorp Capital, a leading Latin American investment bank with operations in Peru, Chile, and Colombia, where he also financially supported entrepreneurs. Moreover, Moises was a member of American non-profit organizations related to financial education. Additionally, he was a consultant at “Perú Sin Brechas” where he supported the virtual education of students from Catacaos, Piura.

Moises holds an Industrial Engineering degree from Universidad de Lima. Currently, Moises is part of the Prismapar Team in the Andean Region.

Hilario Nuño

Associate Partner

Hilario has worked as an independent consultant and associate for various investment banks, advising shareholders and companies in Latin America in the financial, agro-industrial, energy, education, and pharmaceutical sectors, among others. Hilario also served as the co-head of M&A at UBS in New York, advising family groups in Latin America. Hilario led various strategic projects as a Director and member of the Board at SISCO, a family-owned industrial group with operations in Central America.

Hilario graduated in Law from the Complutense University in Madrid, and holds an MBA from the EU Business School in Switzerland. Hilario is based in the US and leads Prismapar’s New York office.

Daniel Stiebler

Associate Partner

Daniel has worked at Unibanco’s Investment Banking division, executing Capital Markets and M&A transactions. Daniel also worked at GP Investments and BRZ Investimentos, executing analysis of new investments, monitoring invested companies, and managing investor relationships.

Daniel graduated in Business Administration from INSPER in Brazil and currently collaborates on selected projects in Brazil.

Alejandra Solis

Associate Principal

Prior to joining Prismapar, Alejandra’s played leadership roles in business development related projects, innovation and M&A due diligence at Nacional Monte de Piedad, a well-known financial institution based in México. Alejandra was also an M&A Manager for Latin America at Laureate Education, one of the world’s largest higher-education group.

Alejandra graduated with a major in Industrial and Systems Engineering from ITESM and obtained a joint degree from Northwestern University and MEM from McCormick School of Engineering. She also holds a MBA from Kellogg School of Management. Alejandra leads Prismapar’s México City office.

Andrés Cardó

Board Member

Andrés is an executive with extensive international experience in management positions. Andrés worked in various executive roles within Grupo Prisa, Spain’s largest communications conglomerate. Andrés was also part of the team that expanded Santillana in Latin America in the 1990´s. Andrés holds a degree in Economics and Human Sciences from the Pontifical Catholic University in Perú, studied finance at the ESAN University in Lima and obtained an MBA at the IESE Business School in Madrid.

Currently, in addition to its role in Prismapar, Andrés serves on the board of several companies in Europe and Latin America.

Guido Stein

Board Member

Prof. Guido is a renowned professor and consultant in the business field. Guido has a PhD in Business Management and Philosophy from the University of Navarra and is a Full Professor at IESE, Academic Director of the Executive MBA in Madrid and Director of the Negotiation Area. Guido is also a member of the International Academy of Management and the International Advisory Board MCC (Budapest) and has been executive president of EUNSA.

Guido is the author of several books in Spanish, English and German, more than forty cases and numerous technical notes. His current research focuses on value creation and conflict resolution through negotiation, millennial and post-millennial leadership, the impact of digitization on leadership, and negotiation.

José Mario Caprioli

Board Member

José Mario Caprioli, a graduate in Business Administration from the Pontifical Catholic University of Campinas (PUC-Campinas), specialized in Public Transport Management at the University of Campinas (UNICAMP) and in Capital Markets at Columbia University in New York. He was the visionary founder of TRIP Linhas Aéreas, which became the largest regional airline in South America. After a successful merger in 2012, it joined forces with Azul Linhas Aéreas, creating Brazil’s largest airline. Caprioli served as Chairman of the Executive Committee and President of Holding Azul S.A.

He is currently one of the main shareholders of Azul and acts as an independent board member for companies in various sectors, including food, mining, education, and others. Throughout his career, he has been involved in numerous corporate operations, such as mergers, acquisitions, strategic sales, and initial public offerings.
